1. Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," "you," or "your") and Axova Technologies ("Axova," "we," "our," or "us") governing your access to and use of the Axova platform, website (www.axova.in), and all associated tools, features, integrations, and services (collectively, the "Services").
By creating an Axova account, connecting any third-party platform, subscribing to a plan, or using any feature of the Axova Services, you confirm and agree that:
- You have read, understood, and agree to be fully bound by these Terms
- You have the legal authority and capacity to enter into this agreement on behalf of yourself or the organization you represent
- You are at least 18 years of age
- Your use of the Services will comply with all applicable laws, regulations, and third-party platform policies at all times
If you do not agree to any part of these Terms, you must not access or use the Axova platform or any of its Services.
2. Description of Services
Axova is a unified customer communication, lead management, and business profile management platform designed for local businesses, digital agencies, franchise networks, clinic chains, and multi-location brands. Our Services include:
- A unified CRM to manage and respond to customer inquiries from all connected channels in one dashboard
- Google Business Profile management tools for authorized profile owners and agencies
- WhatsApp Business AI-assisted response workflows and lead capture tools
- Facebook, Instagram, and YouTube communication and engagement management
- Review monitoring and merchant-configured review response workflow tools
- Appointment booking assistance, lead follow-up workflows, and scheduling tools
- Multi-location and franchise operations management for authorized locations
- Analytics, reporting, and performance dashboards
3. No Affiliation with Google or Other Third-Party Platforms
Axova Technologies is an independent software company. Axova is not affiliated with, endorsed by, partnered with, certified by, or sponsored by Google LLC, Meta Platforms Inc., WhatsApp Inc., or any other third-party platform whose services Axova integrates with.
Use of Google Business Profile, Google Maps, WhatsApp, Facebook, Instagram, and YouTube through the Axova platform remains subject to the respective terms, conditions, and policies of those individual platforms. Axova does not guarantee continued access to any third-party platform integration, as such access is governed by policies set by the respective platform providers and may be modified or revoked by those providers at any time without notice to Axova.
Any mention of Google, WhatsApp, Facebook, Instagram, or YouTube on the Axova website or platform is solely for the purpose of describing technical integration functionality and does not imply any business relationship, endorsement, certification, or sponsorship by those companies.
Clients must not represent or imply to their customers or any third party that Axova's services are officially endorsed, certified, or provided by Google or any other integrated platform.
4. Google Business Profile — Authorization and Compliance Requirements
4.1 Ownership and Authorization Requirement
You may only connect Google Business Profiles to the Axova platform that you own outright, or for which you have received explicit written authorization from the verified business owner to manage on their behalf.
By connecting any Google Business Profile to Axova, you represent, warrant, and confirm that:
- You are the verified owner of the connected Business Profile, OR
- You are a verified manager or authorized representative who has received explicit written permission from the verified business owner to manage the profile, its content, and its customer communications on their behalf
- You have the full legal right and authority to manage, update, publish content to, and perform actions on the connected profile
- You will not connect, manage, operate, or perform any action on Google Business Profiles that belong to third parties without their prior, explicit, documented written authorization
- You will maintain records of client authorization and make them available to Axova upon request if required for compliance review
Connecting a Business Profile that you do not own or are not explicitly authorized to manage constitutes a material breach of these Terms and may result in immediate account suspension, termination, and reporting to Google.
4.2 Agency and Multi-Location Client Accounts
If you are a digital agency, marketing firm, or business service provider using Axova to manage Google Business Profiles on behalf of your clients, you additionally represent and warrant that:
- Each client whose Business Profile you connect to Axova has provided you with explicit written authorization to manage their profile
- You have a current, valid service agreement with each client authorizing you to act as their authorized representative for Business Profile management
- You will immediately disconnect any client's Business Profile from Axova upon termination of your service relationship with that client, or upon the client's request
- You will not retain access to a client's Business Profile through Axova after your authorization has expired, been revoked, or your agency relationship has ended
- You accept full responsibility for all actions taken on client profiles through your Axova account
4.3 Scope of Authorized Actions on Google Business Profile
All actions performed on connected Google Business Profiles through Axova — including publishing posts, managing reviews, responding to Q&A, updating business information, and publishing media — are performed within the scope of permissions you have specifically configured and authorized within the Axova platform. You are responsible for:
- Reviewing and deliberately configuring what actions Axova is permitted to perform on your behalf before activating any workflow
- Ensuring that all content published or managed through Axova accurately represents the business and complies with Google's Business Profile policies at all times
- Monitoring your configured workflows and activity logs on a regular basis
- Immediately disabling any workflow that may be operating in a manner inconsistent with applicable policies
4.4 Compliance with Google's Policies
By using Axova's Google Business Profile integration features, you agree to comply fully and at all times with:
- Google Business Profile Policies (business.google.com/policy)
- Google Terms of Service (policies.google.com/terms)
- Google API Services User Data Policy
- Google's review and content policies, including strict prohibitions on fake reviews, incentivized reviews, review gating, and review manipulation
- All additional or updated platform-specific policies issued by Google from time to time
Axova reserves the right to restrict, suspend, or permanently disable Google-related features in your account if we have reasonable grounds to believe your usage may violate Google's policies or these Terms, without prior notice and without liability.
5. Client Responsibilities and Content Ownership
5.1 You Are Responsible for All Published Content
You are solely and entirely responsible for all content you create, configure, approve, schedule, publish, or authorize through the Axova platform. This includes but is not limited to:
- Review responses published to Google Business Profiles
- Google Posts, business updates, photos, service information, and Q&A responses
- WhatsApp messages and automated follow-up sequences sent through configured Axova workflows
- Facebook and Instagram replies, comments, and messages
- Appointment confirmations, booking notifications, and follow-up communications
- Any other content that interacts with your customers or is published publicly on any connected platform
Axova provides tools, AI-assisted workflow features, and dashboards to help your team operate more efficiently. However, the decision to publish, approve, or transmit any content through these tools remains entirely with you as the account holder. Axova is not responsible for the accuracy, legality, or appropriateness of any content published by you through the platform.
5.2 Accuracy of Business Information
You are responsible for ensuring that all business information published or updated through the Axova platform — including business name, address, phone number, hours of operation, services, and categories — is accurate, current, and truthful. Publishing false, misleading, or inaccurate business information through Axova is a violation of these Terms and of applicable platform policies.
6. Prohibited Uses
You agree that you will NOT use the Axova platform, its features, or any connected integrations to engage in any of the following prohibited activities:
6.1 Unauthorized Profile Access
- Connect, manage, or take any action on Google Business Profiles that you do not own or are not explicitly authorized to manage
- Access or attempt to access accounts, profiles, or data beyond the scope of your granted permissions
- Use another user's or business's credentials, access tokens, or authorization to perform actions on their behalf without documented written consent
6.2 Review and Content Manipulation
- Post, encourage, solicit, or facilitate fake, fraudulent, or incentivized reviews on any connected platform
- Engage in review gating (selectively directing only satisfied customers to leave reviews while discouraging negative feedback)
- Publish review responses, posts, or Q&A answers that are false, misleading, defamatory, harassing, or offensive
- Attempt to inflate, manipulate, or game engagement signals on Google Business Profiles or any other connected platform through inauthentic activity
6.3 Spam and Unauthorized Communications
- Send unsolicited bulk messages, spam, or commercial communications through any connected channel without proper recipient consent
- Use Axova's WhatsApp, SMS, or messaging tools to contact individuals who have not opted in to receive communications from your business
- Conduct mass broadcast campaigns that violate Meta's WhatsApp Business Policy or any applicable anti-spam regulations
6.4 Policy and Legal Violations
- Use the platform in any way that violates applicable Indian laws, regulations, or the laws of any jurisdiction applicable to your business operations
- Violate any third-party platform's terms of service, API usage policies, or developer policies in connection with your use of Axova
- Circumvent, bypass, or attempt to work around technical safeguards or policy restrictions imposed by Google, Meta, or any other integrated platform
- Use Axova to engage in any activity that constitutes unauthorized access to computer systems under the Information Technology Act, 2000 (India) or any other applicable legislation
6.5 Platform Abuse
- Reverse engineer, decompile, disassemble, or attempt to extract source code, algorithms, or proprietary methods from the Axova platform
- Sublicense, resell, transfer, or provide unauthorized access to Axova features or your account to any third party not covered by your current subscription plan
- Interfere with, disrupt, or attempt to gain unauthorized access to Axova's servers, databases, or infrastructure
- Use automated bots, scripts, or tools to access or extract data from Axova in any manner not authorized by these Terms
7. Account Registration, Security, and Access
7.1 Account Registration
To use the Axova platform, you must register for an account by providing accurate, complete, and current information. You agree to keep your account information up to date at all times. Providing false or misleading information during registration is grounds for immediate account termination.
7.2 Account Security
You are fully responsible for maintaining the security and confidentiality of your Axova account credentials, including your password and any API keys or access tokens associated with your account. You agree to:
- Use a strong, unique password for your Axova account
- Not share your login credentials with unauthorized individuals
- Notify Axova immediately at info@axova.in if you suspect any unauthorized access to your account
- Take full responsibility for all actions taken through your account, whether or not you authorized them
Axova will never ask for your Google account password, Meta account password, or any third-party platform login credentials. We use OAuth 2.0 authorization flows exclusively for all third-party platform connections.
7.3 Multiple Users and Role-Based Access
If you grant access to your Axova account to additional team members, employees, or agency staff, you are fully responsible for their actions within the platform. You must ensure that all users with access to your account are aware of and comply with these Terms.
8. Subscription Plans, Billing, and Payment
8.1 Subscription Plans
Axova offers subscription-based pricing plans as detailed on our Pricing page at www.axova.in/pricing. All plans are billed in Indian Rupees (INR) unless otherwise specified. Subscription features, limits, and pricing are subject to change with reasonable advance notice to active Clients.
8.2 Payment and Billing
By subscribing to an Axova plan, you authorize us to charge your selected payment method for the applicable subscription fees on a recurring basis. All payments are processed through secure, PCI-DSS compliant third-party payment gateways. Axova does not store your payment card details directly.
8.3 Refund Policy
Subscription fees are generally non-refundable except as required by applicable law or as explicitly stated in a specific promotional offer. If you believe you have been charged in error, please contact us at info@axova.in within 7 days of the charge and we will review your case.
8.4 Suspension for Non-Payment
If your payment fails or your subscription lapses, Axova reserves the right to suspend access to your account and connected integrations until outstanding balances are settled. We will make reasonable efforts to notify you before suspending access.
9. Account Suspension and Termination
9.1 Termination by You
You may cancel and terminate your Axova account at any time by contacting us at info@axova.in or through your account settings. Upon termination, your access to the platform will cease and your data will be handled in accordance with our Privacy Policy.
9.2 Suspension or Termination by Axova
Axova reserves the right to suspend, restrict, or permanently terminate your account and access to the Services at any time, with or without prior notice, if:
- You breach any provision of these Terms
- Your use of the platform violates Google's Business Profile API policies, Meta's platform policies, or any other integrated platform's policies
- You connect or manage Google Business Profiles without proper ownership or authorization
- You engage in review manipulation, fake engagement, unauthorized access, or any other prohibited activity described in Section 6
- You engage in conduct that poses a legal, reputational, or compliance risk to Axova or any third-party platform
- You fail to pay applicable subscription fees
- Required to do so by applicable law, regulation, or a lawful order from a competent authority
Axova will not be liable to you or any third party for any suspension or termination of your account carried out in good faith pursuant to these Terms.
9.3 Effect of Termination
Upon termination of your account for any reason:
- Your access to the Axova platform and all connected integrations will cease immediately
- All OAuth tokens and credentials will be permanently revoked and deleted
- Your Google Business Profiles, WhatsApp accounts, and other connected platforms will revert to your direct control immediately
- Your stored data will be deleted in accordance with the retention periods set out in our Privacy Policy
- Any outstanding subscription fees remain due and payable
10. Intellectual Property
10.1 Axova's Intellectual Property
All content, features, functionality, software, design, code, trademarks, logos, and materials on the Axova platform and website are the exclusive intellectual property of Axova Technologies and are protected under applicable Indian and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any Axova intellectual property without our prior written consent.
10.2 Your Content
You retain full ownership of all content, data, and materials you upload, create, or publish through the Axova platform. By using the platform, you grant Axova a limited, non-exclusive, royalty-free license to access, process, and display your content solely for the purpose of delivering the Services you have subscribed to. This license terminates upon account closure.
10.3 Feedback
If you provide feedback, suggestions, or ideas about the Axova platform, you grant Axova the right to use such feedback for product improvement purposes without any obligation or compensation to you.
11. Disclaimer of Warranties
The Axova platform and all Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Axova expressly disclaims all warranties including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Guarantees of uninterrupted, error-free, or secure platform availability
- Guarantees of specific business outcomes, search ranking improvements, lead volumes, or revenue results from use of the platform
- Guarantees of continued access to any third-party platform integration, including Google Business Profile API access, which is subject to Google's sole discretion and policies
**Axova does not guarantee that use of the platform will result in improved Google Business Profile rankings, increased visibility on Google Maps, or any specific search engine outcome.
